This document is a legally binding agreement between you and PangaEvent. Please read it carefully before using the Platform.
This Terms of Service agreement ("Terms," "Agreement") governs your access to and use of the PangaEvent website, Android application, and related services (together, the "Platform"), operated from Dar es Salaam, Tanzania. By creating an account, browsing vendor listings, or otherwise using the Platform, you agree to be bound by this Agreement and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Platform.
1.1 These Terms constitute a legally binding agreement between you ("you," "your," "User") and PangaEvent ("PangaEvent," "we," "us," "our").
1.2 You accept these Terms by (a) checking an acceptance box or clicking a similar button during registration, (b) creating an account, or (c) otherwise accessing or using any part of the Platform.
1.3 We may revise these Terms from time to time, as described in Section 20 (General Provisions). The version in force at the time you use the Platform governs that use.
1.4 If you are entering into this Agreement on behalf of a business (for example, as a Vendor registering a company), you represent that you have the authority to bind that business, and "you" in these Terms refers to that business as well as you personally.
The following terms have the meanings given below wherever they appear in these Terms, whether capitalized or not:
3.1 Eligibility. You must be at least 18 years old and capable of forming a binding contract under the laws of Tanzania to register an account. By registering, you represent that you meet these requirements.
3.2 Accurate information. You must provide accurate, current, and complete information when registering and keep it up to date. Providing false information is a breach of these Terms and grounds for suspension under Section 18.
3.3 Account security. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at pangaevent@gmail.com if you suspect unauthorized use of your account.
3.4 One account per person. Each individual may hold only one Customer account and, if applicable, one Vendor account. We may merge, suspend, or remove duplicate accounts.
3.5 Account types. The Platform supports Customer, Vendor, and Administrator accounts. A single individual may not hold both a Customer and Vendor role on the same account; a Vendor account is registered separately and subject to the additional obligations in Section 5.
4.1 We are a marketplace, not a party to your booking. PangaEvent provides a platform for Customers and Vendors to discover each other, communicate, exchange Quotations, and complete Bookings. Except where we expressly act as a payment intermediary under Section 8, we are not a party to any contract formed between a Customer and a Vendor, and we do not provide, and are not responsible for the quality of, the underlying event services (catering, photography, decoration, entertainment, planning, or similar).
4.2 Vendors are independent. Vendors are independent business owners or independent contractors. Nothing in these Terms creates an employment, partnership, joint venture, franchise, or agency relationship between PangaEvent and any Vendor or Customer.
4.3 No guarantee of outcomes. We do not guarantee that any Event Request will receive a Quotation, that any Vendor will be available on a requested date, or that a booked service will meet your expectations. Vendor verification (Section 5.1) confirms identity and business documentation; it is not a certification of quality or an endorsement of any Vendor's work.
5.1 Verification. Before a Vendor profile is published, you must submit a government-issued identification document or business registration document for review. We may approve, reject, or request further information at our discretion, and may suspend a previously approved Vendor whose documentation is later found to be inaccurate or fraudulent.
5.2 Accurate listings. You are solely responsible for the accuracy of your business profile, service descriptions, pricing, and photographs. Prices you quote must be honored for the validity period stated in your Quotation.
5.3 Delivery of services. You are solely responsible for delivering the services described in an accepted Quotation, to the standard a reasonable Customer would expect, and for complying with all laws applicable to your business, including any business licensing, health, safety, and tax obligations in Tanzania.
5.4 Availability. Your availability on the Platform is calculated automatically from your active Bookings, as described in Section 7.2. You are responsible for honoring a confirmed Booking date and for promptly communicating with a Customer if you are unable to do so.
5.5 Right to suspend a listing. We may unpublish, suspend, or remove a Vendor profile or listing at our discretion where we reasonably believe these Terms have been breached, without that action constituting a waiver of any other right or remedy.
6.1 You must provide accurate information in an Event Request (event type, date, location, guest numbers, and budget) so that Vendors can quote appropriately.
6.2 You are solely responsible for deciding which Quotation to accept. We do not vet, recommend, or rank Vendors beyond the ratings and verification status displayed on the Platform.
6.3 You agree to treat Vendors professionally and to pay for services in accordance with the payment method selected at Booking (Section 8).
7.1 Lifecycle. A Booking moves through defined statuses: it is created once you accept a Quotation and select a payment method; it becomes confirmed once payment is verified (for online payment) or acknowledged by the Vendor (for cash or direct transfer); it becomes in progress on the event date and completed once the Vendor marks the service delivered; or it may become cancelled or expired as described below.
7.2 Date hold. Accepting a Quotation places a temporary hold on the Vendor's date. If you select an online payment method and do not complete payment within the hold window (approximately 30 minutes), the hold expires automatically and the date becomes available to other Customers again. We use database-level locking to ensure a Vendor's date can never be confirmed for two competing Bookings at once.
7.3 No booking until confirmed. A Vendor's date is not guaranteed to you until your Booking reaches confirmed status. Accepting a Quotation or submitting a payment does not, by itself, guarantee the Vendor's availability if a conflicting Booking is confirmed first.
7.4 One Vendor, multiple Quotations. Where an Event Request is open (not directed to one Vendor), several Vendors may submit competing Quotations. Accepting one Quotation automatically closes the others for that Event Request.
8.1 Payment methods. Depending on what a Vendor and the Platform currently support, you may pay for a Booking by: (a) online mobile money, processed through Selcom, our licensed Tanzanian payment aggregator, covering M-Pesa, Tigo Pesa/Mixx by Yas, Airtel Money, and HaloPesa; (b) cash paid directly to the Vendor in person; or (c) a direct mobile money or bank transfer to the Vendor's own account, with proof of payment uploaded to the Platform for the Vendor to review and confirm.
8.2 Online payments. Where you pay online, your Booking is confirmed only once we have independently verified the payment with Selcom. We do not store your mobile money PIN or full payment credentials.
8.3 Cash and direct transfer. Cash payments and direct transfers are agreed and settled directly between you and the Vendor. PangaEvent is not a party to, does not process, and does not hold funds for these payment methods — our role is limited to recording the Booking and, for direct transfers, allowing you to upload proof of payment for the Vendor's review.
8.4 Currency and taxes. All amounts on the Platform are in Tanzanian Shillings (TZS) unless stated otherwise. Each party is responsible for its own tax obligations arising from a Booking, including any VAT or income tax owed by a Vendor on amounts received.
8.5 Payment disputes. Any dispute about a specific payment must be reported to us at pangaevent@gmail.com within 7 days of the payment date, after which we may be unable to investigate the transaction with our payment aggregator.
9.1 By the Customer. You may cancel a Booking that has not yet reached completed status, subject to our then-current cancellation policy displayed at the time of cancellation. Cancelling frees the Vendor's date for other Customers.
9.2 By the Vendor. Vendors cannot cancel a confirmed Booking through the Platform. If a Vendor is genuinely unable to deliver a confirmed Booking (for example, illness or an emergency), they must contact us at pangaevent@gmail.com so we can review and resolve it directly; repeated instances may result in suspension under Section 18.
9.3 Refunds. Where a Booking that has already been confirmed and paid for is cancelled, and the payment method was a direct transfer settled between you and the Vendor, the refund is owed and settled directly between the two of you — PangaEvent does not hold that payment and cannot process the refund on either party's behalf, but the Platform will notify both parties of the amount owed. Where an online payment was processed through Selcom, a refund is requested through Selcom's refund process and credited back to the original payment method, which may take several business days to reflect.
9.4 No-shows. If a Customer does not proceed with a confirmed Booking without cancelling it in advance, or a Vendor does not deliver the agreed service, the affected party should report the matter to pangaevent@gmail.com so we can review the account under Section 18.
10.1 In-Platform messaging is available once an Event Request, Quotation, or Booking connects a Customer and a Vendor. Messages are tied to that specific Event Request, Quotation, or Booking.
10.2 While we encourage keeping planning in one place, you are free to share phone numbers, locations, and event details within a message thread. To keep negotiations and dispute history on the record, all messages sent through the Platform are retained and are not editable or removable, as described in our Privacy Policy.
10.3 We retain message history for the record of both parties, including after a Booking is cancelled or completed, as described in our Privacy Policy.
11.1 After a Booking is marked completed, both the Customer and the Vendor may rate each other on a 1–5 star scale with optional written feedback.
11.2 Ratings are held privately until both parties have submitted theirs, or a grace period has elapsed, at which point they are revealed simultaneously. This is intended to encourage honest, independent feedback from both sides.
11.3 A rating may only be submitted for a genuinely completed Booking. We may remove, hide, or decline to publish a rating that we determine, at our discretion, to be fraudulent, abusive, or in violation of Section 12.
When using the Platform, you must not:
A breach of this Section is grounds for suspension or termination under Section 18, in addition to any other remedy available to us.
13.1 The Platform, including its design, software, text, graphics, and the "PangaEvent" name and logo, is owned by or licensed to us and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks without prior written consent.
13.2 You retain ownership of Content you submit (such as gallery photographs or a service description), but you grant us a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute that Content solely for the purpose of operating and promoting the Platform.
13.3 You represent that you own or have the necessary rights to any Content you submit, and that it does not infringe a third party's rights.
Our collection, use, and protection of your personal data is described in our Privacy Policy, which forms part of this Agreement. By using the Platform, you also agree to the terms of that Privacy Policy.
15.1 The Platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, except where such warranties cannot be excluded under applicable law.
15.2 We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any defect will be corrected, although we take the security measures described in our Privacy Policy.
15.3 We do not warrant or guarantee the conduct, reliability, quality, safety, or legality of any Vendor's services, or the accuracy of any listing, Quotation, or rating, beyond the verification steps described in Section 5.1.
16.1 To the maximum extent permitted by law, PangaEvent will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform.
16.2 To the maximum extent permitted by law, our total aggregate liability to you for any claim arising from these Terms or your use of the Platform is limited to the amount you paid for the specific Booking that gave rise to the claim.
16.3 Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under the laws of Tanzania, including liability for fraud or gross negligence.
You agree to indemnify and hold PangaEvent, its officers, employees, and agents harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your Content; (c) your interaction with another User, including the delivery or receipt of event services; or (d) your violation of any law or the rights of a third party.
18.1 By you. You may stop using the Platform and request account deletion at any time by contacting pangaevent@gmail.com, subject to our data retention obligations described in the Privacy Policy.
18.2 By us. We may suspend or terminate your account, without prior notice, if we reasonably believe you have breached these Terms, provided false information, engaged in fraud, or posed a risk to another User or to the Platform. A suspended Vendor is immediately removed from public search results without deleting their historical booking and rating data.
18.3 Effect of termination. Sections 2 (Definitions), 4 (Role of PangaEvent), 13 (Intellectual Property), 15–17 (Disclaimers, Limitation of Liability, Indemnification), 19 (Dispute Resolution), and 20 (General Provisions) survive termination of your account.
19.1 Informal resolution. If you have a dispute with us or with another User arising from the Platform, please contact pangaevent@gmail.com first so we can attempt to resolve it informally.
19.2 Governing law. These Terms are governed by the laws of the United Republic of Tanzania, without regard to its conflict-of-law principles.
19.3 Jurisdiction. Subject to Section 19.1, you agree that any dispute arising from these Terms or your use of the Platform that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of Tanzania.
20.1 Amendments. We may modify these Terms from time to time. We will post the updated Terms on this page with a new effective date, and material changes may also be announced in-app. Your continued use of the Platform after an update takes effect constitutes acceptance of the revised Terms.
20.2 Severability. If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
20.3 Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and PangaEvent regarding the Platform, and supersede any prior agreements on the same subject.
20.4 Force majeure. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including power or internet outages, mobile network or payment aggregator downtime, or government action.
20.5 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
20.6 No waiver. Our failure to enforce a provision of these Terms is not a waiver of our right to do so later.
20.7 Third-party services. The Platform integrates third-party services, including Selcom (payments) and Firebase (push notifications on Android). Your use of those services is also subject to their own terms and privacy policies.
20.8 Notices. We may send notices related to these Terms to the email address or in-app notification center associated with your account. You may send legal notices to us at the address in Section 21.
